Terms of Service

1. Agreement to these terms

By creating an account, booking a discovery call, or using any part of the Aidxn Design service (the "Service"), you agree to these Terms of Service ("Terms") and to our Privacy Policy. If you don't agree, don't use the Service.

These Terms form a binding agreement between you and Aiden Wood, trading as Aidxn Design.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the business you represent. The Service is intended for business use, not consumer use.

3. Your account

• You're responsible for keeping your login credentials secure.
• You're responsible for all activity that happens under your account.
• Tell us immediately at hi@aidxn.com if you suspect unauthorised access.
• You agree to keep your account information accurate and up to date.

4. Acceptable use

You agree not to:

• Use the Service to break the law, infringe someone else's rights, or harass anyone.
• Reverse-engineer, scrape, or attempt to extract source code from the Service beyond what the law expressly permits.
• Probe, test, or breach security mechanisms.
• Resell or sublicense the Service without our written permission.
• Upload malware, viruses, or anything designed to disrupt the Service.
• Use the Service to send unsolicited bulk communications.

We reserve the right to suspend or terminate accounts that breach these rules.

5. Payments, plans, and refunds

• All prices are in Australian Dollars and exclusive of GST unless stated otherwise. GST is added at checkout where applicable.
• Payments are processed by Stripe. By making a payment you also agree to Stripe's terms.
• Discovery calls: the fee is credited against any project booked within 30 days of the call. Otherwise the fee is non-refundable.
• Project work: milestones and refund policy are set out in your individual project agreement, which prevails over these Terms for that specific engagement.
• Subscription plans (if applicable): billed in advance for the chosen period. You can cancel at any time; cancellation takes effect at the end of the current billing period and we do not pro-rate refunds for partial periods.
• Failed payments may result in suspension of access until the balance is cleared.

6. Third-party services

The Service integrates with third-party platforms (Google Search Console, Google Analytics, Meta Ads, Stripe, Supabase, Netlify, Resend). When you connect a third party:

• You agree to that provider's own terms of service.
• You grant us permission to act on your behalf only within the scope you authorise (typically read-only access to your analytics data).
• You're responsible for any costs that provider charges you (e.g. Google API quotas, ad spend).
• We don't control third-party services. If a provider changes its API, pricing, or terms in a way that affects the Service, we'll do our best to adapt, but we're not liable for downtime or feature changes outside our control.

7. Intellectual property

• Our IP: the Service — including all source code, design, copy, and branding — is owned by Aidxn Design. You don't get any ownership of it by using the Service. You receive only a non-exclusive, non-transferable licence to use the Service in line with these Terms.
• Your IP: you keep ownership of any content you upload or any data we receive on your behalf (e.g. analytics data from your connected accounts). You grant us a limited licence to process that data solely to provide the Service to you.
• Feedback: if you give us suggestions or feature requests, we may use them freely without restriction or obligation.

8. Service availability

We aim to keep the Service available 24/7, but we don't guarantee uptime. The Service may be unavailable during maintenance, third-party outages, or unforeseen incidents. We don't offer a formal SLA at this stage; if reliability is mission-critical for your business, talk to us about a custom arrangement.

9. Termination

• You can close your account at any time by emailing hi@aidxn.com.
• We may suspend or terminate your account if you breach these Terms, fail to pay, or use the Service in a way that risks legal liability to us.
• On termination, your access to the dashboard ends. We retain data only as long as our Privacy Policy retention rules require.

10. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by Australian law, we make no warranties — express, implied, or statutory — about merchantability, fitness for a particular purpose, accuracy of data, or non-infringement, except for the consumer guarantees that apply under the Australian Consumer Law that cannot be excluded.

Analytics data we display is pulled from third-party APIs. We don't independently verify it. Business decisions you make based on dashboard data are your own responsibility.

11. Limitation of liability

To the maximum extent allowed by law:

• We're not liable for indirect, incidental, consequential, or special damages — including lost profits, lost data, or business interruption — even if we've been told they're possible.
• Our total aggregate liability to you for any claim arising out of these Terms or the Service is capped at the amount you've paid us in the 12 months immediately before the claim arose, or AU$500, whichever is greater.
• Nothing in these Terms excludes or limits liability that can't be excluded under the Australian Consumer Law.

12. Governing law

These Terms are governed by the laws of Queensland, Australia, Australia. Disputes will be handled by the courts of Queensland. You agree to try to resolve any dispute with us informally first by emailing hi@aidxn.com before escalating.

13. Changes to these terms

We may update these Terms as the Service evolves. Material changes will be announced in the dashboard and via email to active account holders at least 14 days before they take effect. Continued use after the change means you accept the new Terms. If you don't accept them, your remedy is to close your account before they take effect.
